1. Acceptance of Terms

By accessing or using Spinini (“the Service”) at spinini.com, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. Spinini (“we,” “us,” or “our”) reserves the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Service Description

Spinini is a cloud-based integrated development environment (IDE) that allows users to write, run, and deploy code entirely from a web browser. The Service includes AI-powered coding assistance, sandboxed code execution environments, real-time collaboration features, and deployment infrastructure. Features and availability may change at our discretion.

3. Account & Eligibility

You must be at least 13 years of age to use Spinini. By creating an account, you represent that you meet this requirement. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at hello@spinini.com if you suspect unauthorized access.

4. Acceptable Use

You agree not to use the Service for any unlawful purpose or in any way that violates these Terms. Prohibited activities include but are not limited to:

  • Engaging in or facilitating illegal activity of any kind
  • Abusing or over-consuming compute resources beyond your plan limits
  • Mining cryptocurrency or performing proof-of-work computations
  • Distributing malware, viruses, or malicious code
  • Attempting to gain unauthorized access to other users’ data or our systems
  • Reselling or sublicensing access to the Service without our written consent

We reserve the right to suspend or terminate accounts that violate this policy without notice.

5. Credits & Billing

Certain features of the Service are available through paid plans or credit purchases. All purchases are final — credits are non-refundable unless required by applicable law. Subscription plans auto-renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period and you retain access until then. We reserve the right to change pricing with reasonable notice.

6. Intellectual Property

You retain full ownership of all code, projects, and other content you create using Spinini. By using the Service you grant us a limited, non-exclusive license to store, process, and display your content solely to provide the Service to you.

The Spinini platform, including its UI, branding, underlying infrastructure, and proprietary technology, is owned by Spinini and protected by intellectual property laws. You may not copy, modify, or reverse-engineer any part of the platform without our express written permission.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand our data practices.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPININI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO SPININI IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Termination

You may terminate your account at any time by contacting us or using the account deletion option in settings. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will do so.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
